Guidelines for Conducting Effective General and Annual General Meetings

An Annual General Meeting is a mandatory yearly gathering of a company’s shareholders, board of directors, and other stakeholders. The Companies Act, 2013 mandates Annual  General Meetings to facilitate communication between management and shareholders, discuss yearly results, appoint auditors, and handle other essential business.

Companies Required to Hold an Annual General Meeting

All companies, except for One Person Companies (OPCs), are required to hold an Annual General Meeting after each financial year. For the first meeting it can be held within nine months of the first financial year’s end. If the first Annual General Meeting is held within this period, no Annual General Meeting is needed in the year of incorporation.
