Confidentiality Agreement
What is a confidentiality agreement?
A confidentiality agreement is a legally binding contract that ensures the protection of specified private information. It binds one or more parties to non-disclosure, requiring them to keep certain information secret. This type of agreement is crucial for maintaining the privacy of trade secrets or proprietary information, ensuring that such sensitive data remains confidential.
How is it different from a Non-Disclosure Agreement?
A confidentiality agreement and a non-disclosure agreement (NDA) are often used interchangeably, but they have subtle differences. A confidentiality agreement typically involves multiple parties agreeing to keep shared information secret, making it suitable for collaborative projects where proprietary information is exchanged. In contrast, an NDA usually establishes a one-way obligation where one party agrees not to disclose specific information provided by another, often used in situations like protecting trade secrets or during preliminary business discussions.
