End User License Agreement Draft

What is an End User License Agreement?

An End-User License Agreement (EULA) is a legal contract between the software provider and the end user. It grants the user the right to use the software under specific conditions, while retaining ownership of the software with the provider. The EULA outlines the terms of use, restrictions, and liabilities, ensuring both parties understand their rights and obligations.

How is it different from a Software License Agreement?

An End-User License Agreement (EULA) and a Software License Agreement (SLA) both govern the use of software, but they target different audiences and purposes. A EULA is a contract between the software provider and the end user, detailing the terms under which the user can utilize the software, including usage restrictions and liabilities. In contrast, a Software License Agreement is broader and can involve agreements between businesses, covering not only end-user terms but also distribution rights, maintenance, and support services. Essentially, while a EULA focuses on the end user’s rights and limitations, an SLA encompasses a wider range of licensing terms and conditions, often including business-to-business arrangements.
