The Ministry of Corporate Affairs has worked tediously to ease up the process of e-filing for the companies. The peak season of annual filing is here. So, the rush to submit the financial statements and audit reports in due time is every company’s focus, to avoid any late fee or worse penalty on them.

Sometimes due to unforeseen circumstances, companies are unable to do the annual e-filing at ROC. This imposes them under penalty and late fees. To make it a bit easier, MCA has introduced a fee calculator. There are apps and websites that help in calculating late fees.

The MCA fees can be calculated directly using the MCA Enquire fees portal (click here) or through following steps. To access the ROC calculator free of cost follow the steps given below.

  1. Go to the official website of the Ministry of Corporate Affairs
  2. There, at the top bar click on the menu labelled MCA Services.
  3. Then, scroll down and locate Fee and Payment Services on the sidebar menu.
  4. Click on it and then select the menu Enquire Fees.
  5. As soon as you click on enquire fees, a fee calculator will appear on the page. 
  6. Select the company type at the bottom of the calculator: company or LLP.
  7. Then, click on the select form button at the bottom. A drop-down menu will appear with the list of forms to select from.
  8. Select the relevant one and then follow through by filling out the required details like CIN, DOB, payment amount, etc. 
  9. After that, the total fees for the form will be summed up at the end.

Earlier, there was no concept of small or big LLPs. After 2021, the MCA brought an amendment to significantly reduce the late fees for a small LLP. 

What is the Late Fees for LLP ROC Filing?

The late fee for filing ROC by LLPs was reduced through an amendment proposed in the year 2021. With its effect from  April 1, 2022, now none of the LLPs is bound to a penalty or late fee of INR 100 per day.

However, the new late fee is now INR 10 per day for small-scale LLPs for 100 days of late filing and INR 20 per day for 100 to 300 days. The number of days can be calculated from the default date to the date of filing the ROC forms.

Now, the above per-day charges are only applicable for filings of forms 8 and 11.

Each and every LLP must file these documents within the stipulated time to avoid any penalty.

Form 8 i.e. Statement of Account and Solvency and form 11 i.e. for Annual Return. Both of these forms are to be filed annually. As the financial year ends for every LLP is 31 March of every year. The time limit for filing of:

Form 11 is 60 days after the closing of the financial year.

Form 8 must be filed within 30 days after the end of the financial year,

What is ROC Late Fees for AOC 4?

All the companies registered under ROC are required to submit the financial statements for the whole year to the Registrar annually. This law is as per section 137 of the Companies Act, 2013 and Rule 12 of the companies accounts rules of 2014.

The due date for filing of AOC-4 by the companies is one month from the date of the Annual General Meeting.

An OPC or One Person Company can file it within 180 days of the financial year ending.

The late fee for the delay in filing form AOC 4 is INR 100 per day, but the late fees can not increase by INR 10 Lakhs. 

What is ROC Penalty?

The Registrar of Offices has a provision of charging penalties on delays caused in annual ROC filings. Every company has to pay the penalty for the delay in ROC filing. 

The penalty charges for delay in the annual filing are shared in the table below.

FAQ: ROC Late Filing Fees Calculator

ROC Fee Calculator for Increase in Authorized Capital

ROC charges for an increase in authorized capital are given below:

  1. For OPC with a nominal share capital of up to INR 10 Lakhs, it is INR 2000.
  2. For OPC and small companies, for each INR 10,000 of the nominal share capital or a part of it, where the nominal share capital is between INR 10 Lakhs to INR 50 Lakhs, is INR 200.
  3. For companies whose nominal share capital is less than INR 10 lakhs, is INR 5000.
  4. For companies whose nominal share capital is more than INR 10 lakhs, an additional fee plus INR 5000 is charged.

Also, if there is a delay in payment of 6 months, an additional fee is charged at 2.5% per month on the fees slab described above. And, if there is a delay in payment of more than 6 months, an additional fee is charged at 3% per month on the fees slab described above.

A penalty of INR 100 is charged per day for the delay in filing form AOC-4. The maximum amount chargeable is INR 10 lakhs.
